Master Services Agreement

Introduction

This Master Services Agreement ('Agreement') is entered into between [Your Business Name] ('Service Provider') and [Client Name] ('Client').

1. Services

Services may include website design and development, website maintenance, copywriting, SEO, Google and Meta advertising, social media management, and other digital marketing services. The specific services, pricing, and scope will be outlined in the proposal or invoice.

2. Pricing and Payment

Pricing is determined by the proposal or invoice and may change over time. Recurring services are billed according to the agreed schedule.

3. Project Timelines

Timelines are discussed and mutually agreed upon before work begins. Delivery dates are estimates and may change if project scope changes or required client materials are delayed.

4. Client Responsibilities

The Client will provide any required logos, photos, videos, branding assets, and other materials. The Service Provider will generally write website copy, subject to Client approval before publication.

5. Ownership

Upon full payment of the initial website development fee, ownership of the website files transfers to the Client. Upon offboarding, the Service Provider will provide the website files. Hosting and domain registration are not included unless otherwise agreed. Hosting may be provided at the Service Provider's discretion.

6. Ongoing Maintenance & Marketing

Recurring plans include reasonable ongoing website updates, seasonal promotions, marketing support, SEO, advertising management, and/or social media management depending on the selected service tier. Fair use applies. New websites, complete redesigns, custom software, complex integrations, or other substantial new work are outside the recurring scope and may require a separate quote.

7. Remote Services

Services are provided remotely. On-site visits, photography, videography, or filming are not included unless separately quoted.

8. Communication

The Client agrees to designate one primary contact for approvals, feedback, and requests.

9. Cancellation

Recurring services may be cancelled by either party with written notice. Services continue through the end of the current paid billing period. The Service Provider may terminate services immediately in cases of abusive behavior, material breach, or other unreasonable conduct.

10. Late Payment

If payment is overdue, the Service Provider may issue written notice and pause work until payment is received. The Service Provider is not responsible for delays resulting from late payment.

11. Limitation of Liability

The Service Provider will perform services with reasonable care but is not liable for indirect, incidental, or consequential damages.

12. Confidentiality

Both parties agree to keep confidential information private unless disclosure is required by law.

13. Governing Law

This Agreement is governed by the laws of the Province of Ontario and the applicable laws of Canada.

Acceptance

By paying the applicable invoice, the Client acknowledges that they have read, understood, and agree to be bound by this Agreement. Payment of the invoice constitutes acceptance of these terms.
